Goods (Services) Sales Agreement of Sekorm Platform

Sekorm Platform is owned by [Sekorm eService Co., Ltd. ] (hereinafter referred to as "we", "us" or “our”). We or our cooperative product manufacturers/suppliers/service providers provide products, goods and/or services, and are responsible for their management.

To fully protect the consumer's right to knowledge of the true facts concerning goods purchased and used or services received, please carefully read the Goods (Services) Sales Agreement of Sekorm Platform (hereinafter referred to as "this Contract" or "this Agreement") before submitting an order.

This Contract details the terms and conditions that the Customer (hereinafter referred to as "you" or "the Customer") must abide by during the use of the services on Sekorm Platform (hereinafter referred to as the "Platform"). Please feel free to contact the Platform if the Customer has any question.

After the Customer has checked the checkbox "I have read and agrees to the Goods (Services) Sales Agreement of Sekorm Platform” and have submitted the order, it is deemed that the Customer has fully understood and agreed to all the terms of this Contract (including exemption from or limitation of liability, applicable laws, dispute resolution, which are marked in bold and are the key content for the Customer to read), has a right and ability to submit orders, pay for goods, place orders on the Platform and cooperate with the Platform in its full capacity, and has agreed to assume all legal liabilities arising therefrom. Besides, after the Customer has clicked the checkbox "I have read and agreed to Goods (Services) Sales Agreement of Sekorm Platform" and "Submit Order" and the order has been confirmed by the Platform to be valid, this Contract shall take effect between the Customer and the Platform. If the Customer disagree to this Contract and/or its modifications hereto, please do not click the checkbox "I have read and agree to the Goods (Services) Sales Agreement of Sekorm Platform on the relevant page “Order Submission” of the Platform, and do not submit an order on the Platform.

I. [Interpretation] 

Customer refers to an enterprise, legal person or other social organizations in Asia that purchase goods, products and services from the Platform.


Contract refers to the contract that automatically takes effects or is signed between the Customer and the Platform regarding the purchase of goods, products and services.

Goods refer to the goods or services provided by the Platform or the suppliers/service providers that cooperate with the Platform.

Order refers to an offer made by the Customer to purchase goods through the Platform and the suppliers/service providers that cooperate with the Platform. 

II. [General Provisions] 

The Customer (hereinafter referred to as "you" or "the Customer") has fully understood and accepted the terms of this Contract, the License Agreement of Sekorm Platform, the Sekorm Platform Privacy Policy and the Sekorm Platform Export Statement. After the signing of this Contract, unless supplement and change to this Contract is made by both Parties in writing and is signed or sealed by the authorized representative of Sekorm Platform, the transaction between both Parties shall be subject to the terms of this Contract.

Sekorm Platform has the right to modify the terms of this Contract. If any, the principles of openness, continuity and reasonableness shall be followed. A 7-day notice and announcement shall be given to the Customer through the Platform. Before the terms of this Contract are modified, the transaction between both Parties shall be governed by the original contract; after the terms of this Contract are modified, the transaction between both Parties shall be governed by the new contract.

Any quotation, delivery time, and materials communicated to the Customer are for information: the content contained in the above materials is only an invitation for offer from the Platform to you, not an offer. Sekorm Platform can correct the printing errors, writing errors or other non-substantial errors in the quotations, price lists, order confirmations or other documents and data so issued and give explanations to you, and new documents shall prevail.

The information about successful order submission is automatically generated by the system, not a commitment of the Platform to your offer, which only means that the Platform will review your offer. Only when the Platform has confirmed that it can meet your order requirements and deliver the goods to you, will the Platform be deemed to have made a commitment to your offer, in which case the sales contract (i.e., this Contract) between you and the Platform on the goods that have been shipped takes effect. You can log in to your platform account at any time to check the status of your order.If the customer order has one or more of the following conditions (including but not limited to the following), the Platform has the right to refuse to fulfill the order without any compensation. Relevant risks or losses therefrom shall be borne by the Customer:


1. The domicile is outside of Asia, or the main business premise or registered address, order delivery address, mailing address, etc. are outside of Asia;

2. The Customer has been disqualified from membership or use; 

3. The materials so provided contain false information; 

4. The Customer clearly intends to resell the goods or is a trading company for the purpose of resale, etc.; 

5. The Customer places an order for the purpose of transfer, resale, etc.; 

6. The Customer is defined as a high-risk customer in consideration of credit boycott for the reason of low quality, payment history and other factors; 

7. It is confirmed by the Platform that the Customer is involved in panic buying; 

8. The Customer has violated the provisions of Sekorm Platform Export Statement; 

9. The customer's behavior of purchasing products violates relevant laws and regulations, import and export control and relevant mandatory provisions of the customer's location;

10. Other conditions that the Platform deems non-conforming with the requirements for fulfillment of orders. 

You agree that the Platform has the right to send order information, promotional activities and other information to the users registered on the Platform, order submitters and consignees through email, SMS, telephone and by other means. 


You shall not lend the account and password made available by registering on the Platform to others, otherwise you shall bear all the responsibilities arising therefrom, and shall be jointly and severally liable with the actual users.

You agree that the Platform makes no warranty as to the merchantability, fitness for a particular use or purpose, or non-infringement. In no event shall the Platform be liable for any special, indirect or incidental damages of any nature, including but not limited to damages resulting from loss of profit or revenue, recall costs, claims for service interruption or outage, testing, installation or removal costs, product replacement costs or legal fees.  

III. [Customer Information] 

1. Qualifications 

The Customer shall confirm that before you start to place an order on the Platform, you shall have the following civil capacity appropriate to your actions.


(1)   aged 18 or above (or 16 years of age and living mainly from his own Labour income);

(2)   To be able to fully recognize their own conduct and to carry out any civil activities through their own independent conduct;

(3)   Sound mental health and intelligence;

(4)   Have legal authorization.

If you do not have the above civil capacity for your behavior, you and your legal representative shall bear all the consequences arising therefrom in accordance with the law.

2. Customer information 

(1) When using the services available on the Platform, you shall provide registration information to the Platform in good faith, for example basic information (name, birthday, sex, personal email address, personal phone number and address); personal identification information (work email, phone number, telephone, position, department, company/enterprise name, company/enterprise address, job number, student number, ID card); address information (delivery address, work address, etc.); enterprise information (registered address, registered phone number, business license, tax registration certificate, organization code certificate, taxpayer identification number, opening bank name, bank account, etc.). You understand and agree that you are obligated to maintain the authenticity and validity of the information you provide. In case of any change, the information shall be updated in time. If the registration information so provided is illegal, untrue, inaccurate or incomplete, you shall bear the corresponding responsibilities and consequences arising therefrom, and the Platform reserves the right to terminate the Customer's use of services available on the Platform.

(2) When you browse, order goods or services and conduct other activities on the Platform, if your real name/company/enterprise/unit name, address, contact number/phone number, work email and other private information are involved, the Platform shall keep such information strictly confidential. Unless authorized by you or otherwise provided by law, the Platform shall not disclose user privacy information to any unauthorized third party. Regarding the privacy policy and protection of the Platform, you can read and understand the Sekorm Platform Privacy Policy in detail.


(3) Your personal information collected and generated based on this service shall be stored in the People's Republic of China. Moreover, the Platform's third-party service providers/partners, third-party logistics & express companies and customs declaration entities may obtain necessary information about you and use your personal information only for the purpose of fulfilling this Contract.

IV. [Goods Information]

The price, quantity, stock and other information of the goods or services which are displayed on the Platform shall be updated and displayed from time to time according to actual conditions. If manufacturers/suppliers/service providers request a price rise, or if the exchange rate fluctuations or if offer errors occur, the prices of goods displayed on the Platform shall be adjusted without special notice, and the actual information of the goods shall prevail. 


The Platform shall make reasonable commercial efforts to make the parameters, description, price, stock and other information of the goods which are displayed on the Platform as accurate and detailed as possible. However, in view of the huge amount of goods information on the Platform and the development limitation of Internet technology and other factors, you acknowledge and understand that there may be certain lag or error in the displayed information. If you find that the goods information is wrong or in doubt, please do not submit the order, and inform us first and foremost. Afterwards, we will verify or modify the relevant information.

Considering that stock data are changing dynamically, changes in suppliers, quantities, prices and delivery dates may occur during the order fulfillment process. When the above changes occur, the Platform shall contact you and process orders in accordance with the final confirmation and consent of both Parties. If you do not expressly agree to the change to the Platform, your confirmation of receipt to the Platform shall be deemed to have agreed to such change.

The goods and services available on the Platform shall be produced, sold or delivered in accordance with the laws, regulations, standards, norms and practices of the mainland of the People's Republic of China, and shall conform to the relevant standards or technical specifications of the mainland of the People's Republic of China on quality, safety, health, environmental protection and identification. However, there may be differences, non-conformance or even conflicts with the national/regional standards of your location or destination. You acknowledge that the quality, health, safety, health, environmental protection, identification and other standards applicable to the goods and services available on the Platform are different from national/regional quality and safety standards of your location or destination, and any hazards or losses that may arise from such use, as well as other risks shall be borne by you.

V. [Purchase and Order] 


1. The Customer can purchase the goods you need by submitting an order online through the Platform.

2. If the Customer has submitted the order by taking the initiative to clicking the checkbox "I have read and agreed to the Goods (Services) Sales Contract of Sekorm Platform" on the page of filling in or submitting order, it indicates that you have agreed to be bound by the conditions of sale.

3. The information about successful order submission is automatically generated by the system, not a commitment of the Platform to your offer. Only when the Platform has confirmed that it can meet your order requirements and deliver the goods to you, will the Platform be deemed to have made a commitment to your offer, in which case the sales contract between you and the Platform for the goods that have been shipped takes effect. You can log in to your platform account at any time to check the status of your order, delivery status, etc.

4. After the Customer has successfully submitted the order online on the Platform, if the data sent by the Customer cannot be received by the Platform due to Internet and other problems, or if essential items of the order are incomplete, it shall be regarded as an invalid order. The Platform shall not be liable for any losses incurred to the Customer as the result of transaction failures. 

5. After the Customer has submitted the order, the Platform shall confirm it within 10 days. Once the Platform has accepted and confirmed the order, the Customer is obliged to complete the transaction with the Platform, unless prohibited by law or this Contract.

6. The Platform shall automatically generate order details based on the order submitted by the Customer. After submitting the order, the Customer shall pay for the goods in time, failing which the Platform may cancel the overdue orders. 

7. Due to market changes and various factors that are difficult to control through reasonable commercial efforts, the Platform cannot guarantee that the goods you wish to purchase according to the order information you submit will be in sufficient stock at the time you plan to ship; if the goods you intend to purchase are out of stock, you have the right to cancel the order without any responsibility. 


8. Before the sales contract between the Platform and the Customer takes effect, both Parties have the right to cancel the order for the relevant goods. After the order has been canceled, the price you have paid shall be refunded to your payment account.

9. The Platform shall promptly notify you of the order status by email or SMS, such as successful order submission, delivery and express logistics. When submitting an order, you shall fill in the correct information according to relevant prompts, so that you can receive the relevant information in a timely and accurate manner. You can also log in to the Platform to view the order details at any time.

10. In addition to the purchase price of the product, the Customer shall also pay all logistics and transportation costs to the Platform, subject to the order details.

11. The Platform reserves the right to refuse transactions. If the Platform promptly makes it clear to the Customer that it does not accept the order after receiving the order, the Platform does not assume any responsibility for the Customer's belief in the establishment of the sales contract in advance and related losses therefrom. If the Platform deems it necessary, it can accept the order after requiring the Customer to sign a separate sales contract or to change the sales conditions.

12. The Customer shall guarantee that any goods or services you purchase on the Platform are for your and your company's end use, not for resale. Without the prior written consent of the Platform, you shall not sell any goods or services you purchase on the Platform to any third party, otherwise, you and your company shall bear and compensate for all liabilities and losses incurred to the Platform and its goods manufacturers/suppliers/service providers.

VI. [Payment] 


After the Customer has submitted the order, the Platform shall review the order, and the Customer's order shall be paid within 48 hours after approval, failing which the Platform may cancel the overdue orders. The Platform deems that the payment has been made if query finds that the actual amount received is consistent with the order amount payable.

If the Customer fails to pay within the time limit, Sekorm Platform has the right to:

(1) cancel the order or suspend any further delivery or fulfillment of the order.

(2) require the Customer to pay the total order amount.

The Platform supports credit card payment and T/T payment:

(1)     Credit card payment: the Platform support credit cards issued by VISA, MasterCard, and American Express. The Customer shall make the final payment to the account provided or designated by the Platform.

(2)     Bank remittance: to make the final payment to the account provided or designated by the Platform through USD personal and corporate bank accounts.

VII. [Distribution] 


The Platform shall select an appropriate logistics express company according to the Customer's order (FCA), and send the goods to the delivery address you specify through the logistics express company (except for the delivery address outside the distribution scope).

All estimated delivery dates and delivery times listed on the Platform are for reference and are calculated based on the stock status, normal processing and delivery time, delivery location, logistics, means of transportation, and other factors, not as part of contractual commitments. The delivery time is subject to the actual conditions of the logistics company.

If the delivery is delayed by the OEM/supplier/service provider and/or by uncontrollable emergencies, the Platform shall not be liable to the Customer, and the Customer shall not cancel the order for this reason. If the receipt of the goods is delayed and/or other risks are incurred for the Customer's reasons, the consequences shall be borne by the Customer.

The Customer must accurately fill in its real name, delivery address, and contact information. If the order is delayed or cannot be delivered in the following circumstances, the Platform is not responsible for delayed delivery and reserves the right to unilaterally cancel the order:

(1) The information provided by the Customer is wrong and the address information is incomplete; 

(2) No one signs for the goods after the delivery, resulting in failure to deliver or delayed delivery, or repeated delivery; 

(3) It is caused by force majeure, such as natural disasters, traffic control, and the outbreak of wars. 

The list of items shall be delivered together with the goods. Please check this list in time. 

You agree to provide your logistics information to the third-party logistics express company specified by the Platform and agree that the Platform entrusts a third-party logistics express company to handle customs clearance matters including tax declaration and payment. You agree that the information provided by the Platform to a third party includes necessary information such as recipient name, ID card, passport or other customs clearance certificate number and contact information, and provide such information to customs/other relevant departments for customs clearance and compliance with the law.

The Customer is the taxpayer of retail imported goods for cross-border e-commerce, and all applicable taxes and other expenses incurred as the result of the use of the Platform shall be paid by you. The Platform may act as an agent of tax collection and remittance to perform relevant obligations on its behalf. 

VIII. [Delivery] 


When the goods are delivered by the Platform to the first carrier, the delivery is deemed to be completed. The Platform has the right to determine the carrier, delivery route, and delivery method. If the Customer put forward special requirements for the carrier, delivery route and delivery method, it may contact the customer service representative of the Platform before delivery. If the Platform cannot meet the special delivery requirements of the Customer, the Platform has the right to unilaterally cancel the order without responsibility; if the Platform has confirmed that it can meet the Customer's special delivery requirements, the additional costs incurred therefrom shall be borne by the Customer. Please check the delivered goods before receipt. At the time of accepting the goods, you or your designated consignee or agent shall sign or seal the delivery note or other documents, it is deemed that you have received the goods and accepted the goods received.


If the Customer's company name, factory name, research institute name, sign, etc. cannot be confirmed, the goods may not be delivered.

If the Customer refuses to pay for the delivered goods, the Platform reserves the right to appeal/defend. If the Customer refuses to pay the Platform/its cooperative manufacturers/suppliers/service providers for irreparable losses, the Customer shall be liable for all damages, and the Platform has the right to define the Customer as a high-risk customer and refuse to deal with the Customer again. 

IX. [Inspection] 

1. Inspection 

After the Platform has delivered the goods according to the order, the Customer shall inspect the name, model, specification, and quantity of the goods for damages, deformation, defects, etc. within 7 days of receiving the goods (subject to the time of receipt). For customized goods, your relevant information shall be checked and inspected. If the goods are found to be significantly damaged, deformed, or defective during the inspection, or inconsistent with the name, model, specification, and quantity of the goods listed in the confirmed order, a detailed written notice and relevant instructions shall be provided to the Platform within 7 days after receipt, and a delivery note shall be attached.


If the Customer fails to give such notice within the above period, the goods shall be deemed to be in compliance with the contract in all aspects and shall be deemed to be accepted and checked as qualified. At this time, the transaction is completed.

2. If the Customer has received a damaged package, the Customer shall take a photo of the package to confirm the damage, notify the Platform and provide a clear photo including the waybill number before opening the package. 

3. In addition to the goods you have ordered, a list of items is generally included in the delivery package. Please check the list in time.

4. As the size of the goods is getting smaller, it is recommended to arrange for professionals to receive and open the package to avoid loss of goods caused by loose packaging.

5. In the event of damage during transportation, please keep the shipping box, packaging materials, products, and related documents on an "as is" basis, and contact our customer service representative immediately.

6. If all or part of the goods is found to be non-conforming during the inspection, the Platform shall review the goods. If it is confirmed that non-conformity is caused by the Platform, the Platform shall replace the product as soon as possible (the Platform shall provide the service again, if applicable) or refund the price corresponding to non-conforming products as required by the Customer.

X. [Risk and Title]

The title of the goods and the risks of damage and loss of the products are transferred to the Customer when the products have been delivered to the first carrier, and Sekorm Platform shall no longer assume any responsibility for the damage and loss of products. 

The Platform is not responsible for customs clearance delays or even goods confiscation by customs if the Customer or its recipient does not cooperate with customs clearance or is unable to provide customs clearance documents.

XI. [Return and Exchange]

All returned and exchanged goods must be confirmed and agreed by the Platform. The Platform shall not return or exchange the goods without confirmation and consent.

With the approval of the Platform, if there is a need to return or exchange the goods (hereinafter referred to as "return and exchange") after the specified inspection period, the Platform shall only accept the requests for return and exchange under the following conditions.

(1) The original package is maintained, unopened and unused;

(2) Appropriate precautions must be taken for goods classified as "statically inductive".

Except for the return or exchange caused by the inability to use the product reasonably due to its quality, the Customer shall bear all the expenses incurred for return and exchange, including postage charges and import & export customs clearance. If the Customer requests to return or exchange the goods, please contact the customer service center of the Platform by phone or email in advance. The customer service center of the Platform shall reply and explain whether to accept such a return or exchange. During the period from the receipt of goods to the handling of procedures such as return and exchange, the risk of loss or damage to the goods shall be borne by the Customer.

Except as provided in the preceding paragraph, if the delivered goods are damaged or wrongly delivered by the Platform, the Customer shall contact the customer service center of the Platform within the specified time limit. If the Platform has confirmed that the damage and wrong delivery of the goods is caused by the Platform according to the information provided by the Customer, the platform shall accept the Customer's return and exchange request. In this case, the postage charges for such return shall be borne by the Platform. If the Platform is unable to judge the true conditions of the goods, it may refuse the return and exchange request of the goods.

If the goods are changed as a result of abuse, electrostatic discharge, misuse, accident, modification, welding or in any way, the Platform has the right to refuse the return and exchange request of such goods.

Refund policy

The Platform shall refund the payment to the Customer's original payment account upon refund application for the return or exchange.

The Customer acknowledges that if the taxes and fees incurred in customs declaration have been borne by the Platform or its third-party service providers/partners, you shall bear the taxes and fees when initiating a refund application for the shipped goods. You shall accept the supervision of the customs, the inspection and quarantine agencies, and other regulatory authorities, and assume corresponding legal responsibilities.

Goods return and exchange process

(1) First call the customer service center at 400-830-1766 or send an email to service@sekorm.com, communicate with the customer service staff, identify the problem and provide relevant certificates.

(2) After having confirmed that the return and exchange conditions are satisfied, the customer service staff shall submit the return and exchange application to the relevant department for approval and give feedback to the Customer, during which the customer service STAFF shall keep in touch with the Customer by phone or email.

(3) After approval, the returned or exchanged products shall be sent to the address designated by the customer service staff in the original package within 48 hours after the Platform agrees to do so.

(4) After the Platform has received the returned goods and such goods have passed its acceptance, it shall arrange reshipment or refund accordingly.

XII. [Import and Export Restrictions]

1. The Customer acknowledges and agrees that the goods you order on the Platform may be subject to the import and export control laws, restrictions, regulations, and orders of China and the country where the goods may originate. The Customer agrees to comply with all applicable import and export laws, restrictions, and regulations of China, the United Nations, and other foreign institutions or authorities, and shall not export, or transfer for the purpose of re-export, any goods to any prohibited or embargoed country, or individuals or organizations that have been rejected, blocked or listed according to the decrees of China, the United Nations or other countries. The Customer shall obtain any license at its own expense and comply with any applicable import and export regulations of China and the country where the goods are sold. The Platform reserves the right to refuse to supply to specific customers or to specific countries, as well as the right to request the Customer to provide sufficient details of the end use and final destination of the goods.

The Customer shall understand and strictly abide by all relevant import and export control laws and regulations promulgated by the Chinese Government and the local government issued all the relevant import and export control laws, and regulations including EU countries, the United States and Japan, and ensure that all products are sold or processed or resold according to the above laws and regulations in the process of order execution. 

Regarding import and export restrictions, please refer to the Sekorm Platform Export Statement and abide by the relevant regulations.

XIII. [Application Restrictions]

In any case, the Customer is strictly prohibited from using the product in anti-personnel landmines, or for any purpose related to biological, chemical or nuclear weapons or missiles for transporting such weapons.

The goods shall not be used in aerospace or aviation aircraft or other air transportation applications, life support or supply equipment, surgical transplantation equipment, or any failure of the goods that would reasonably be considered to cause personal injury, death, environmental damage, or serious property loss. Besides, it is strictly prohibited to use or add any products in such devices, systems, or applications.  The Platform shall not be liable for any loss and damage directly or indirectly caused by the use of the goods for such purposes to the maximum extent permitted by the law.

 If the Customer uses or sells the product in any such prohibited areas and purposes, then:

(1) Customer confirmation: The Customer shall bear the risk of such use or sale;

(2) The Customer agrees that the Platform and the goods manufacturers/suppliers/service providers shall not be fully or partially liable for any claims or damages arising from such use;

(3) The Customer agrees to compensate for any and all losses, liabilities, and expenses (including legal and other costs) incurred to the Platform and its manufacturers/supplier/service provider due to such addition or use, even if the losses are attributable to design or manufacturing defects.

XIV. [Force Majeure]

If the Platform’s delay in fulfilling or failing to perform any of its obligations under these conditions is due to any reason beyond the Platform’s reasonable control (including but not limited to government actions, wars, fires, widespread epidemics, explosions, floods, severe weather, import and export controls or embargoes, labor disputes, unavailability of goods or labor, etc.), the Platform shall not be liable to the Customer in any way for such delay or failure to perform or be deemed to be in breach of contract.

If the performance of the contract by the Platform is blocked due to the above-mentioned reasons, the Platform may independently decide to delay performance or cancel all or part of the contract, and shall not be liable for the delay, cancellation, or any failure to deliver.

XV. [Communication Statement]

If you contact the Platform by other means, the Platform has the right to refuse.

XVI. [Applicable Laws and Jurisdiction]

No rights, duties, covenants or obligations under these Terms shall be invalidated or altered by operation of law, merger or otherwise. The obligations, rights and conditions in these Terms shall be binding upon both Parties and their respective successors and assigns. No waiver or breach of any term, condition or provisions of these Terms and breach of any provision of these Terms shall be deemed to constitute a waiver of any other terms, conditions or provisions of these Terms. If any provision of these Terms is prohibited or unenforceable in any jurisdiction, that provision shall become ineffective in that jurisdiction, to the extent of the relevant prohibited or unenforceable provision, but shall neither invalidate other provisions of these Terms in that jurisdiction nor affect the validity and enforceability of the such provision in any other jurisdiction.

These terms and all contracts and orders between the Platform and the Customer shall be governed and interpreted by the laws of the mainland of the People's Republic of China (excluding Hong Kong and Macau), and the Customer shall agree to waive any other jurisdiction that may be applicable for any reason. The Customer must ensure compliance with all provisions of this User Agreement, the Privacy Statement, and all other terms and rules incorporated into the above agreement. Any disputes arising out of or in connection with the contract shall first be resolved by both Parties through friendly consultations.
